TERMS OF SERVICE
PLEASE READ CAREFULLY BEFORE ACCEPTANCE
Energy Components User Community (hereinafter “ECUC”) is an online portal provided by Quorum Software Norway AS, a company in the Quorum Software group (hereinafter “Quorum Software”), designed to offer information regarding the releases and documentation of the Energy Components Hydrocarbon Accounting products and services. The use of ECUC is limited to chosen business partners only. By accessing and using ECUC you agree to the following terms and conditions. Do not use ECUC if you do not agree to all of the terms and conditions.
1 User registration process
The use of ECUC is protected by a user account with username and password. To get access, you sign up from the ECUC start page, using your name, company name, company email address and a secure password. The registration does not allow immediate access. If your company is found to be the holder of a valid EC license, or has a special access arrangement with Quorum Software, you will receive an email upon activation of your account. Users are required to use their company email address when registering, representing one of Quorum Software’s EC customers. Unless otherwise agreed, Quorum Software will reject registrations from companies not licensed to use EC.
You are responsible to keep your username and password confidential. Do not forget to log out of your session and do not forget to close your window when you are done viewing the web site. In case you forget your password, it can be obtained with the help of the “Forgot your password?” link in the login window.
Quorum Software will, at given intervals, perform a cleanup of user accounts not in use for a period of one year or more. To prevent unauthorized access, Quorum Software will also at given intervals ask users to confirm their email address’ validity by responding to a confirmation email.
2 ECUC content
ECUC is provided “as is” and without warranties of any kind either express or implied made in relation to the correctness, accuracy, reliability or availability of its content or otherwise. Quorum Software reserves the right to revise the terms of service, the content of ECUC or withdraw access to it at any time and accepts no responsibility for ECUC not being available at all times.
Upon acceptance of your application, Quorum Software will make available user name and password to the ECUC environment through which you will have access to certain information and resources. You may not disclose such information or data to any third parties and you are only allowed to access and use ECUC on behalf of the Quorum Software customer having a contract with Quorum Software regarding the subject products and services.
3 Ownership
The contents of ECUC, including without limitation, trademarks, service names and brands are the property of Quorum Software or respective third parties. Such contents are protected by copyright and other laws. Any rights not expressly granted herein are reserved. You are not allowed to reproduce, transfer, distribute or store any part of the contents thereof without our prior written permission.
Other than personally identifiable information, which is covered under our Privacy Notice, any material you transmit or post to the ECUC shall be considered non-confidential and non-proprietary. Quorum Software shall have no obligations with respect to such material and shall be free to copy, disclose, distribute, incorporate and otherwise use such material and any data, images, sounds, text or other things embodied therein for any and all commercial or non-commercial purposes. You also agree that any information posted by you in the ECUC may be made visible to other users as well.
4 Privacy Notice
Quorum Software is committed to protecting your privacy and personal data and processes your personal data in accordance with the Privacy Notice available on the login window.
5 Links
Use of sites through links on ECUC is subject to terms and conditions of such other sites. We have no control over the contents or other properties of such sites and assume no liability for any matters arising out of use by you of such sites.
6 Limitation of liability
We shall not be liable for, and you agree to waive, to the fullest extent permitted by applicable law, your right to any direct, indirect, incidental, special, consequential or punitive damages, loss of profits or business opportunities or for business interruption arising out of the use of or unavailability of ECUC, in any and all circumstances.
7 Governing law and disputes
This agreement shall be governed by the laws of Norway and competent courts of Norway in the domicile of Quorum Software shall have an exclusive jurisdiction to resolve any dispute arising out of this agreement.
